Nate is a seasoned business lawyer who focuses on each client’s specific business objectives to target solutions to address those goals using a multidisciplinary approach. Nate’s background representing both for-profit businesses and not-for-profit organizations enables him to advise clients on legal issues across all areas of their operations.
Clients look to him for advice on a host of matters including corporate governance matters, contract preparation and review, risk management, statutory and regulatory compliance and business dispute resolution across a wide range of legal fields.
Client Work
Nate’s experience as corporate counsel includes the following:
- Counseling clients regarding the organization and transformation of business entities, including on matters such as corporate governance, operational policies and practices, risk management, internal controls, and regulatory compliance.
- Representation of privately held companies in mergers, stock and asset purchases, and divestitures.
- Working with members of ArentFox Schiff’s Environmental group to develop, design, and implement product sales and facilities compliance programs.
- Working with members of ArentFox Schiff’s Real Estate group to assist clients with all aspects of acquiring, selling, and leasing real estate, as well as constructing improvements to their facilities to meet their needs.
- Working with members of ArentFox Schiff’s Labor, Employment, & OSHA group to proactively counsel clients on various aspects of the employer to employee relationship and address associated risks and mitigate challenges.
- Working with member of ArentFox Schiff’s Intellectual Property group to design and implement strategies to protect the intellectual property of clients.
- Nate helps clients resolve domestic and cross-border disputes with business partners, including suppliers, customers, and other vendors.
- Nate routinely advises tax-exempt clients in a number of different areas, including board member fiduciary duties and oversight responsibilities, executive compensation matters, and records management. He also represents these clients in day-to-day operational and contractual matters.
- Working with members of ArentFox Schiff’s International Trade group to help clients comply with US export control laws and regulations, other trade and customs laws, including compliance with government contracting and anti-corruption laws.
- Day-to-day legal representation and counseling on a host of matters, including:
- Purchase and supply agreements
- Confidentiality and nondisclosure arrangements
- Transportation and logistics
- Consulting agreements
- Sales representation and distributor agreements
