ArentFox Schiff Welcomes Corporate & Securities Partner Mamta Shah in New York

Mamta’s practice focuses on advising public and privately held companies on all aspects of employee benefits law.

ArentFox Schiff is pleased to announce the expansion of its Corporate & Securities practice with the addition of Partner Mamta K. Shah. Mamta advises public and privately held companies on all aspects of employee benefits law.

Mamta brings more than two decades of experience advising management on the implementation, design, and administration of qualified employee benefits, nonqualified deferred compensation arrangements, health and welfare plans, employment agreements, severance benefits, and equity and incentive-based compensation plans. She has advised clients of all sizes across various sectors and industries, including aerospace, insurance, manufacturing, retail, legal services, financial services, life sciences, and cannabis. 

Mamta also advises on employee benefits issues arising from business transactions, such as corporate mergers, acquisitions, and dispositions, with a focus on benefits integration and disintegration. She has negotiated transaction documents, conducted due diligence, advised on Section 409A  compliance and corrections, and performed 280G analyses. She has also drafted employee communications and corporate resolutions, and assisted with post-closing integration and disintegration matters.

Examples of Mamta’s recent work include:

  • Advised boards of directors of public companies, plan administrative committees, and plan investment committees on properly discharging fiduciary responsibilities.
  • Counseled corporate management on strategic planning with respect to retirement benefits, including post-acquisition harmonization of employee benefit plans, mergers, spin-offs, plan terminations, and plan formations.
  • Counseled administrative committee of not-for-profit company in designing and implementing a “dual-qualified” 401(k) plan providing benefits to United States and Puerto Rico employees.
  • Advised privately-held cannabis company on all employee benefits and executive compensation matters in $130M sale, including analyzing 280G issues and shareholder cleansing vote.
